Company Secretarial Assistant




If you're looking for an interim position, gaining valuable experience in a listed PLC, then this could be an excellent fit.




Bakkavor Group plc is now seeking some interim support at Company Secretarial Assistant level (or similar), supporting the Company Secretary and Deputy Company Secretary with a full range of corporate governance and company secretarial duties.



Working in a friendly and dynamic head office team of c.20+, you'll ideally be a Chartered Secretary (or at least part qualified) with experience gained in an in-house or professional services environment (or even a bit of both!).




The role will be offered on a fixed-term basis, for a period of 4 months and offers a hybrid working arrangement, working both remotely and at our head office based in London (W1T).

Accountabilities




  • Ensuring all regulatory filings are maintained and up to date (including Confirmation Statements, Appointments/Resignations, Share Capital filings at Companies House).



  • Drafting Board and shareholder resolutions for subsidiary companies, including their sign-off and retention.

  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.

  • Undertaking technical research projects for Company Secretariat in relation to developments in corporate governance, regulation and best practice.

  • Assist overseas entities with signings and documentation which are required in requested jurisdictions.

  • Updating the group structure chart as changes occur.

  • Attending to day-to-day issues as required, including the provision of information regarding the Group companies and working with the Group’s Treasury and Finance functions and external legal and accounting advisors where applicable.






Board support




  • Assisting the Company Secretarial team with the organisation and preparation of papers for the Group Board meetings (including uploading of Board papers to the Diligent board paper portal).

  • Assisting with the preparation of draft Agendas/Board Papers/Timetable.






Compliance/Governance




  • Assisting with the Group’s continuing obligations under the FCA’s Listing Rules, Disclosure Guidance and Transparency Rules and Market Abuse Regulations – (monitoring directors/PDMRs share dealings, RNS announcements, maintaining Insider Lists).

  • Updating and maintaining the Group’s corporate data held in Diligent Entities (formerly Blueprint) managing e-filings, pending events and rolling forward dates of mandatory filings.

  • Liaison with the Group’s Registrars in relation to general shareholder relations.

  • Assisting with the annual audit and the preparation of the Annual Report and Accounts, including assistance with drafting the Corporate Governance and Directors’ Reports.

  • Assisting with the drafting and preparation of documents required for the Annual General Meeting (AGM).





Skills Required





  • Part/fully CGI qualified.

  • Good knowledge of the Companies Act 2006 and UK Corporate Governance Code.

  • Ability to understand key stakeholders and build own internal networks.

  • Ability to learn and maintain general knowledge of all businesses within the Group.

  • Attention to detail is essential.

  • Highly organised, thorough, demonstrating excellent diligence and a proactive, flexible approach.

  • Personable, discreet, confident, articulate and able to establish strong relationships with individuals at all levels of seniority.

  • Understanding of directors’ role and responsibilities.

  • Experience of entity management software (Diligent Entities/Blueprint) and board paper portals (Diligent) would be advantageous.

  • Proficient in Microsoft Office applications (e.g. Word, PowerPoint, Excel and Outlook)

  • Strong communication skills
