Semperian Group are currently searching for an Assistant Company Secretary, based in our Daresbury office, on a permanent basis.
Job Summary
The role of Assistant Company Secretary is to take responsibility for day to day company secretarial support functions, working closely with the Group Company Secretary and other team members to maintain an efficient and professional company secretariat function across the Group.
The preparation of papers, minutes, agendas, and board packs will be an integral part of the role
The role offers the opportunity to help establish and develop new systems and processes, working closely with the legal and commercial teams to ensure full compliance with all applicable regulations.
Part 2 Job Description = Main Duties and Responsibilities
The characteristics of the key accountabilities are:
- Company secretarial management of a portfolio which may include 100% owned, third party and joint venture projects.
- Use of Diligent Entities (formerly Blueprint OneWorld) to maintain statutory registers.
- Preparation and distribution of agenda and board packs.
- Attending and taking minutes of board meetings.
- Preparation and filing of documents with Companies House to comply with statutory requirements.
- Preparation and issue of loan note documents and maintenance of loan note registers.
- Coordination and preparation of responses to ‘Know Your Customer’ (KYC) requests.
- Preparation of dividend and intragroup loan documents.
- Preparation and issue of loan note documents and maintenance of loan note registers.
- Maintenance of policies specific to portfolio.
- Preparation and maintenance of bank mandates.
- Planning of board meetings which includes liaison with internal and external stakeholders.
- Coordinate and schedule board and shareholder meetings including liaison with internal and external stakeholders.
- Attending to queries that arise within the Group relating to Company Secretariat issues using Blueprint, SharePoint and paper records.
- Maintaining awareness and knowledge of changes within Company law.
- Contribute to the maintenance of corporate governance procedures.
- Act as company secretary for individual limited companies.
- Filing and maintaining hard and soft copy documentation as required, using Blueprint, SharePoint.
- Providing support to other members of the Secretariat team when required during periods of absence or when workload pressures dictate.
- Ensure that all services are delivered to a high standard and within deadlines.
- Undertake such other duties as may reasonably be determined as commensurate with the grade of the post.
- Occasional travel to other offices.

Person Specification
Essential
- Previous company secretarial experience.
- Excellent working knowledge of Microsoft office suite.
- Excellent standard of general education.
- CGI/ICSA student.
- Extensive minute taking experience.
- Good working knowledge of the Companies Act 2006
Desirable
- Knowledge of the PFI industry.
- CGU/ICSA qualified/part-qualified.
