A new role has arisen for an Assistant Company Secretary to join Nuffield Health, providing compliance and legal governance whilst supporting the Legal & Assurance Team with legal advice to the Charity and general support on legal matters.

The role will provide abundant opportunity to learn and further develop a career in governance and legal.


As our Assistant Company Secretary, you will:
Support the General Counsel & Company Secretary and the Charity, providing advice and assistance on all legal, insurance, corporate governance/compliance related matters

Assist with the compliance requirements of the UK Companies Act and the UK Corporate Governance Code and Charities Act

Administer company secretarial matters for Nuffield Health and its subsidiaries

Provide administration support associated with the Board and Committees including keeping a register of directors interest/conflicts, appointment/resignation dates, remuneration and pension benefits

Assist with statutory compliance for Nuffield Health and its subsidiaries including preparation for the AGM, updating statutory records and preparing UK statutory forms and filings with Companies House and board policies and procedures.

Support the General Counsel & Company Secretary and other members of the Legal & Assurance Team with ad hoc projects, legal advice and commercial contracts as and when required


What you'll need to succeed:
Experience of working within a Company Secretarial department or corporate law.

Basic knowledge of the UK Corporate Governance code, the Companies Act and Charity Law

Experience in drafting minutes and company documentation

Strong relationship management skills and confidence in dealing with senior colleagues

Confident to work independently, under pressure and to tight deadlines

Ability to efficiently manage a high volume of work with urgency and with limited supervision

Excellent attention to detail, strong organisational skills and a team player.

Desire to build a career in governance

A law degree desirable
