About the role (External)






Key Responsibilities


1. Team Leadership: Take the helm of our Company Secretariat team, setting clear objectives, providing guidance, and fostering a culture of excellence and continuous improvement.


2. Process Excellence: Develop and document clear processes and procedures for company secretarial tasks, ensuring consistency and efficiency.


3. Monitoring & Compliance: Lead the team in monitoring its effectiveness in delivering company secretarial tasks, ensuring compliance with governance requirements.


4. Governance Expertise: Stay abreast of corporate governance developments, making recommendations to achieve compliance and a standard methodology.


5. Legal Compliance: Be responsible for compliance with company articles of association, Companies Act, and London Stock Exchange requirements.


6. Meeting Management: Efficiently manage board and committee meetings, from agenda preparation to minute-taking and arranging the formal AGM.


7. Annual Reporting: Lead the production of Annual Report & Accounts, managing timely contributions from colleagues in other parts of the company.


8. Effectiveness Review: Support the management of the annual Board and Committee Effectiveness Review.


9. Director Selection: Assist the Chair of the Nominations Committee in non-executive director selection processes.


Person Specification



  • Proven track record in leading successful teams and fostering a dynamic culture.

  • Associate Member of the Institute of Chartered Secretaries and Administrators (ICSA).

  • Extensive senior-level experience in company secretarial functions.

  • Proficiency in Company Law and Combined Code requirements.

  • Capability to thrive under pressure while upholding high standards.









  • Duration: Permanent, full-time opportunity.

  • Location: London Waterloo General Offices.

  • Band & Salary: Band 2C £85,395 - £96,070 per annum (dependent upon experience) plus benefits.
