You will support the Deputy Group Secretary and Company Secretarial Assistant with the management of the Currys plc Board and Committee meeting processes, ensuring that the legal entities in the Group are compliant with companies legislation, the Listing Rules and corporate governance best practice and contribute to shareholder projects including the Annual Report and Accounts and Annual General Meeting.



Key role responsibilities:



  • Drafting and distributing subsidiary board papers, minutes and resolutions

  • Administration of the Group’s Market Abuse Regulation insider and confidential project lists, including management of permission to deal requests and queries

  • Managing the statutory compliance of UK subsidiaries including submission of confirmation statements and director support

  • Maintaining the corporate database (GEMS) for all companies including international subsidiaries and the Group corporate structure chart

  • Drafting and releasing RNS announcements and National Storage Mechanism submissions

  • Maintaining key governance documentation including directors’ interests and conflicts registers and the board skills matrix


Other shared responsibilities:



  • Assisting with the preparation of the Currys plc Board and Committee meeting packs

  • Organisation of the Currys plc Annual General Meeting

  • Drafting the company secretarial sections of the Currys plc Annual Report, the Notice of Annual General Meeting and other shareholder communications

  • Maintaining the Directors’ induction pack, Board Matters Reserved and Committee Terms of Reference and ensuring compliance with governance best practice

  • Maintaining the company secretarial sections of the Company’s website

  • Supporting the arrangements for the payment of dividends


Key Skills, Qualifications & Experience required:


Previous company secretarial experience or studying for the CGI qualification Highly organised with multi-tasking skills and an ability to work with change Excellent interpersonal and communication skills and the ability to collaborate effectively with stakeholders at all seniority levels Integrity and discretion when handling confidential information IT Skills – Competent with Word, Excel, Powerpoint and Microsoft Teams Previous use of GEMS, Diligent Boards and Insidertrack is desirable
